This Video Asset License (the “License”) explains how customers may use downloadable video assets purchased from ElonVideos LLC. through elonvideos.com. It applies to Ultra 4K video assets, Full HD Horizontal and HD Vertical Video assets, and any other downloadable video content identified as being subject to this License (each, an “Asset”).
By purchasing, downloading, or using an Asset, you agree to this License. If you purchase an Asset on behalf of a business, agency, client, or employer, you confirm that you have authority to accept this License on their behalf.
1. License Grant
Subject to your payment and continued compliance with this License, ElonVideos grants you a non-exclusive, worldwide, royalty-free, non-transferable license to use the purchased Asset in personal and commercial creative projects.
The license allows you to incorporate, edit, modify, synchronize, combine, or otherwise transform the Asset as part of a larger finished work (a “Finished Work”).
This License applies only to the Asset you purchased and does not transfer ownership of the underlying Asset to you.
2. Permitted Uses
You may use an Asset in Finished Works such as:
- advertisements and promotional campaigns;
- social-media videos and posts;
- websites, landing pages, and digital applications;
- films, documentaries, and online video productions;
- television, broadcast, and streaming productions;
- presentations, educational content, and internal business materials;
- music videos, podcasts, and other audiovisual projects; and
- client projects, provided that the Asset is incorporated into a Finished Work and is not distributed as a standalone file.
You may use an Asset in multiple Finished Works unless the applicable product page or a separate written license states otherwise.
You may resize, crop, trim, edit, color-correct, layer, animate, combine, and synchronize an Asset with other content. You may add text, voice-over, music, graphics, effects, narration, or other creative elements.
3. Client and Team Use
A business, agency, or freelancer may use an Asset in a Finished Work created for a client. The client may display and distribute that Finished Work after delivery.
You may provide an Asset to a contractor or production team member only when necessary to create a permitted Finished Work, provided that the person is bound by restrictions at least as protective as this License and does not retain or redistribute the standalone Asset after the project is complete.
You may not transfer the purchased Asset itself to a client, customer, contractor, employee, or other third party as a standalone file. If a client needs to use the Asset independently in new projects, the client should purchase their own license unless ElonVideos provides written permission otherwise.
4. Prohibited Uses
You may not:
- resell, sublicense, rent, lease, lend, or redistribute an Asset as a standalone file;
- upload an Asset to a stock-media website, template marketplace, file-sharing service, digital asset library, or similar platform;
- make an Asset available for download, extraction, or reuse by third parties;
- give away an Asset as a standalone freebie, bonus, giveaway, or downloadable resource;
- use an Asset to create a competing stock-media product, video library, template pack, or downloadable collection;
- claim ownership of the original Asset or represent that you filmed or created it when you did not;
- use an Asset in unlawful, defamatory, fraudulent, misleading, hateful, abusive, or infringing content;
- use an Asset in a way that suggests ElonVideos endorses a person, brand, product, service, political message, or viewpoint without written permission;
- use an Asset as a trademark, logo, service mark, or other source identifier;
- use an Asset to train, develop, test, or improve an artificial-intelligence or machine-learning model, dataset, or generative system without written permission; or
- remove copyright notices, metadata, watermarks, or other ownership information included with an Asset, except where removal is technically necessary as part of an ordinary Finished Work.
5. Standalone Use Is Not Allowed
The Asset must be part of a Finished Work that adds substantial creative, editorial, informational, or commercial value. You may not distribute the Asset in its original or substantially similar form where the Asset is the primary content being offered, sold, downloaded, or accessed.
For example, you may use a video as part of a promotional advertisement, but you may not sell or distribute the original video as a stock clip, wallpaper, background-video package, or downloadable media file.
6. Ownership and Intellectual Property
ElonVideos and its licensors retain all ownership and intellectual-property rights in and to the Assets. This License grants usage rights only; it does not sell or assign copyright, ownership, or any other intellectual-property right in an Asset.
You retain ownership of your original creative contributions to a Finished Work, subject to the rights of ElonVideos and any other rights holders whose material is included in that Finished Work.
7. Third-Party Rights and Releases
Some Assets may contain or depict people, property, locations, trademarks, products, or other recognizable elements. Unless expressly stated on the product page or in writing, an Asset may not include model releases, property releases, trademark permissions, or other clearances for every possible use.
You are responsible for determining whether additional permission, clearance, attribution, disclosure, or licensing is required for your specific project, audience, industry, territory, or advertising claim.
ElonVideos does not grant permission to use a person’s name, likeness, trademark, brand, property, or other third-party rights merely because that material appears in an Asset.
8. Commercial, Advertising, and Sensitive Uses
Commercial use is permitted when the Asset is incorporated into a Finished Work and the use complies with this License and applicable law.
You are responsible for reviewing the Asset and your Finished Work before publication. Do not use an Asset in a context that falsely implies a person’s endorsement, makes a defamatory claim, promotes unlawful conduct, or creates a misleading association with a person, brand, organization, medical condition, financial product, political position, or other sensitive subject.
If your intended use involves regulated advertising, political advertising, medical or health claims, financial services, adult content, or another sensitive category, obtain appropriate legal and rights clearance before publication.
9. AI and Automated Systems
Unless ElonVideos gives you written permission, you may not use an Asset as training data or input for an artificial-intelligence, machine-learning, generative-media, face-recognition, biometric, or similar system.
You may use ordinary editing, captioning, resizing, enhancement, and production tools to create a Finished Work, provided that the Asset is not used to train or build a dataset or model and is not distributed as a standalone source file.
10. Number of Users and Locations
This License is granted to the purchaser and the purchaser’s own business or organization. It is not a public or unlimited sharing license.
You may use a purchased Asset across your own websites, social-media accounts, marketing channels, and production locations, subject to this License. You may not place the original Asset in a shared public library or make it accessible to unrelated third parties for independent use.
If you require an enterprise, broadcast, multi-client, resale, redistribution, or other expanded license, contact ElonVideos before using the Asset in that manner.
11. No Transfer of the Asset
You may not transfer or assign the Asset or this License to another person or business, except as part of a permitted Finished Work. Any attempted transfer that violates this section is invalid.
ElonVideos may approve an exception in writing. A written exception applies only to the specific use and scope described in that approval.
12. License Termination
This License remains effective as long as you comply with its terms. It automatically terminates if you materially breach this License.
If the License terminates, you must stop using the Asset, remove it from new projects and distribution channels where reasonably possible, and delete standalone copies in your possession or control, except where retention is required by law or embedded copies must remain in an already-distributed Finished Work.
Termination does not limit any other rights or remedies available to ElonVideos under applicable law.
13. Refunds and License Rights
If a purchase is refunded or reversed, the license for the refunded Asset ends unless ElonVideos confirms otherwise in writing. You must stop using the Asset and remove it from new or unpublished projects.
Refund eligibility is governed by the ElonVideos Refund Policy and applicable law.
14. No Warranty for a Particular Use
ElonVideos does not guarantee that an Asset is suitable for every project, platform, audience, territory, advertising claim, or commercial purpose. You are responsible for checking the Asset, technical requirements, third-party rights, and legal requirements before use.
Nothing in this License excludes a warranty or legal right that cannot lawfully be excluded.
15. Indemnity
To the extent permitted by law, you are responsible for claims, losses, liabilities, damages, and expenses arising from your breach of this License or your unlawful, misleading, or unauthorized use of an Asset. This section does not apply to the extent a claim results from ElonVideos’ own intentional misconduct or liability that cannot legally be shifted to you.
16. Relationship to Other Terms
This License supplements the ElonVideos Terms and Conditions. If the Terms and this License conflict specifically about how an Asset may be used, this License controls for that usage question. All other provisions of the Terms continue to apply.
17. Changes to This License
ElonVideos may update this License for future purchases or uses by posting a revised version on the Website. The version that applied when you purchased an Asset will continue to govern that purchase unless a change is required by law or you agree to the updated terms.
